Terms and conditions

§1 Introductory provisions

  1. The SONTO online shop, available at https://sonto.eu, is run by SONTO Sp. z o.o., with its registered office at ul. Bagienna 36c, 70-772 Szczecin, Poland, NIP: 9552564863.
  2. These Terms and conditions set out the rules and procedure for concluding a distance sales contract through the Shop.
  3. The Terms and conditions are addressed both to Consumers and to Entrepreneurs using the Shop. Provisions that apply to only one of those groups are marked as such.

§2 Definitions

  • Seller – SONTO Sp. z o.o., ul. Bagienna 36c, 70-772 Szczecin, Poland, NIP: 9552564863.
  • Customer – any entity making purchases through the Shop.
  • Consumer – a natural person concluding a contract with the Seller within the Shop, the subject of which is not directly connected with their business or professional activity.
  • Entrepreneur with consumer rights – a natural person concluding a contract directly connected with their business activity where the content of that contract shows that it is not of a professional nature for them.
  • Entrepreneur – a natural person, a legal person or an organisational unit conducting business or professional activity in their own name.
  • Shop – the online shop run by the Seller at https://sonto.eu.
  • Sales contract – a contract for the sale of a Product concluded at a distance between the Customer and the Seller through the Shop.
  • Order – a declaration of intent by the Customer aimed directly at concluding a Sales contract, specifying in particular the type and number of Products.
  • Quotation offer – an e-mail message sent to the Customer by the Seller after the Order has been placed, setting out the total cost of the Order together with the cost of transport and the payment details.

§4 Technical requirements

To use the Shop you need: a device with Internet access and a current web browser supporting JavaScript and cookies, and an active e-mail account.

§5 General information

  1. The Seller is not liable for disruption to the Shop caused by force majeure, unlawful acts of third parties or incompatibility of the Shop with the Customer’s technical infrastructure.
  2. Prices given in the Shop are in Polish zloty or euro and are shown in parallel as net and gross amounts. Prices do not include the cost of transport, which is quoted individually (§7).
  3. The Seller reserves the right to change Product prices, to run promotional campaigns and to withdraw them. Such changes do not affect Orders placed before they were introduced.

§6 Placing an Order

  1. An Order may be placed without setting up an Account, by giving the data necessary for its performance.
  2. To place an Order the Customer adds Products to the basket, completes the order form, chooses a delivery method and confirms the Order.
  3. Placing an Order does not amount to concluding a Sales contract. It constitutes a request for a quotation, in response to which the Seller sends a Quotation offer.
  4. The Sales contract is concluded when the Customer accepts the Quotation offer sent by the Seller.

§7 Payment terms and delivery methods

  1. Online payments are not available in the Shop. The only method of settlement is the “Quotation offer by e-mail”.
  2. After the Order has been placed the Seller contacts the Customer by electronic means and sends a Quotation offer setting out the value of the Products, the cost of transport and the bank transfer details.
  3. Payment is made by bank transfer to the account given in the Quotation offer, once the Customer has accepted it.
  4. Until the Quotation offer has been accepted the Order is held and is not carried out.
  5. The cost of transport is calculated individually for each Order and depends on the size and weight of the goods and on the place of delivery. The Customer learns it from the Quotation offer, before the Sales contract is concluded.
  6. Available delivery methods:
    • Transport quote – delivery by courier or freight companies, within Poland and the other countries of the European Union.
    • Collection in person – free of charge, at the Seller’s premises in Szczecin, by prior arrangement. This method is available for Orders with delivery within Poland.
  7. The Seller issues an invoice for every Order. The Customer agrees to receive invoices in electronic form, at the e-mail address given in the Order.

§8 Performance of the Sales contract

  1. The Order begins to be carried out once the payment has been credited to the Seller’s account, unless the parties have agreed otherwise.
  2. The delivery time is given in the Quotation offer and runs from the day the payment is credited.
  3. The Customer is obliged to check the condition of the consignment on delivery. If damage is found, the Customer has the right to refuse to accept the consignment and to draw up a damage report with the carrier.

§9 Right of withdrawal from the contract

  1. A Consumer and an Entrepreneur with consumer rights have the right to withdraw from the Sales contract within 14 days without giving any reason.
  2. The period runs from the day on which the Customer took possession of the goods, or on which a third party other than the carrier and indicated by the Customer took possession of them.
  3. To exercise the right of withdrawal the Customer informs the Seller of their decision by an unequivocal statement — by post to the registered office address or by e-mail to kontakt@sonto.pl.
  4. Sending the statement before the deadline expires is enough to meet it.
  5. The Seller returns all payments received without delay and no later than 14 days from the day the statement of withdrawal is received. The refund is made using the same means of payment as those used by the Customer, unless the Customer expressly agrees to another solution.
  6. The Seller may withhold the refund until the goods are received back or until the Customer provides proof that they have been sent, whichever occurs first.
  7. The Customer bears the direct cost of returning the goods. For oversized goods which cannot be sent back as an ordinary postal parcel, that cost may be considerable and corresponds to the cost of freight transport.
  8. The Customer is liable for any diminished value of the goods resulting from handling them other than as necessary to establish their nature, characteristics and functioning.
  9. The right of withdrawal does not apply in the cases set out in Article 38 of the Polish Consumer Rights Act, in particular where the subject of the performance is a non-prefabricated item manufactured to the Customer’s specification or serving to meet their individualised needs.
  10. The right of withdrawal does not apply to an Entrepreneur for whom the Sales contract being concluded is of a professional nature.

§10 Complaints and guarantee

  1. The Seller is obliged to deliver goods free from defects.
  2. A complaint should be submitted by e-mail to kontakt@sonto.pl or in writing to the Seller’s registered office address. Please attach photographs of the goods complained about and a contact telephone number.
  3. The Seller responds to a complaint without delay and no later than within 14 days of its submission.
  4. The Seller’s liability under the statutory warranty towards a Consumer and an Entrepreneur with consumer rights is two years from the day the Product is released.
  5. In contracts concluded with an Entrepreneur the Seller’s liability under the statutory warranty for defects of the Product is excluded, pursuant to Article 558 §1 of the Polish Civil Code.
  6. If the Product is covered by a manufacturer’s guarantee, the rights under that guarantee are exercised on the terms set out in the guarantee document.

§11 Out-of-court complaint and redress procedures

A Consumer may use out-of-court procedures for handling complaints and pursuing claims, including mediation at the regional inspectorates of the Trade Inspection and the online dispute resolution (ODR) platform available at https://ec.europa.eu/consumers/odr. Their use is voluntary.

§12 Personal data in the online Shop

The controller of Customers’ personal data is the Seller. The rules of data processing, retention periods, recipients of the data and the Customer’s rights are described in the Privacy policy and in the abridged GDPR notice. Providing personal data is voluntary but necessary for the Order to be carried out.

§13 Final provisions

  1. Contracts concluded through the Shop are concluded in the Polish language.
  2. The Seller reserves the right to amend the Terms and conditions for important reasons, in particular changes in the law and changes to payment and delivery methods. Such changes do not affect Orders placed before they entered into force.
  3. Matters not regulated by these Terms and conditions are governed by generally applicable provisions of Polish law, in particular the Civil Code, the Act on the provision of services by electronic means and the Consumer Rights Act.
